### What are credits used for inside the app?

Credits are the unified currency for every AI action, such as creating models, virtual try-ons, model swaps, background edits, upscaling, image generation, video generation, and more.

### How many credits does each tool cost?

Most tools start at 1 credit per output. Costs increase with higher resolutions and more detailed output settings. For the full breakdown, see the [credit-cost table](https://help.fashn.ai/plans-and-pricing/app-pricing#credit-costs).

### What happens if I don't use my credits?

Unused monthly credits roll over to the next month, up to your plan's cap: 600 for Basic, 2,250 for Pro, 4,500 for Agency, and 9,000 for Agency 2×. Bonus credits refresh daily and don't roll over. Purchased top-ups stay active for 12 months from the purchase date.

### Are there any discounts available?

Yes. Paying annually gives you roughly two months free compared to monthly billing. The plan features stay the same. Annual billing just lowers the effective monthly rate. You can switch from monthly to yearly billing at any time.

### Can I adjust my plan after I subscribe?

Yes. You can upgrade, downgrade, or cancel at any time, and the app walks you through how charges, credits, and renewal dates adjust for monthly versus annual plans. ### Is AI virtual try-on the same as an AI clothes changer?

The terms are often used interchangeably. Both describe showing a fashion product on a person in a photo. At FASHN, virtual try-on also covers shoes, bags, hats, eyewear, and other accessories.

### How is virtual try-on different from Product to Model?

Virtual try-on changes what someone is wearing in an existing photo. Product to Model creates a new on-model image from a product photo when you do not already have the person or scene you want.

### What kinds of product photos give the best results?

A clear, well-lit image with the product fully visible gives FASHN the most detail to work with. Simple snapshots and existing on-model images can also work, but details that are hidden, blurred, or cropped cannot be reproduced as reliably.

### Can I transfer an outfit from an existing on-model photo to another person?

Yes. Use the existing on-model image as the product reference and provide a photo of the person you want to dress. A clear view of the product helps preserve its shape, construction, and details.

### How accurately are logos, prints, and fine details preserved?

FASHN is designed to preserve visible product details, including colors, textures, prints, logos, and text. Very small lettering, heavy occlusion, reflections, or intricate patterns can still vary, so review final images before publishing them.

### Can I show the same product on different people and body types?

Yes. Use the same product image with different person photos to build a broader set of on-model imagery. Each result adapts the product to the person while keeping their recognizable features and natural proportions.

### Can I refine the image after creating the try-on?

Yes. Continue the conversation in Agent to adjust the styling, background, or composition, or use the result as a reference for additional images and variations.

### Does virtual try-on predict exact size and fit?

No. Virtual try-on visualizes how a product may look on a person, but it does not measure the body or predict the correct garment size. Use it alongside your size chart or fit recommendation system when shoppers need sizing guidance.

### Can I use virtual try-on images commercially?

Yes. FASHN permits personal and commercial use in accordance with your plan. You must have the rights or permissions required for the images you upload, including consent from identifiable people where required.

### Are my uploaded images used to train AI models?

No. FASHN does not use customer content to train or improve its own or third-party AI models unless you expressly opt in through a separate agreement.

### What happens to my images after I upload them?

Images saved in your Gallery or Agent history remain available until you delete them or the relevant account or Organization is deleted. Data submitted through a business integration is handled under the applicable agreement and the customer's instructions.

Use Model Swap when you have an existing image of a product worn by a person or mannequin and want to replace the person while keeping the product unchanged. Model Swap changes the model's appearance (identity, skin tone, hair, face) and preserves the outfit, pose, lighting, and background exactly as they appear. If you're starting from a product photo without a person, use Product to Model instead. If you want to place a worn product onto another specific person image and pose, use Try On.

### What does Model Swap change and what does it keep?

Model Swap is identity transformation. It changes the model's appearance, including identity, skin tone, hair, and face. It preserves the product exactly as it appears, along with the pose, lighting, and background. You are not changing the clothes or re-posing the subject.

### What image quality should my source image have?

Use a high-resolution source image, at least 1K, that is well-lit with minimal background clutter. The source image should have clear outfit, pose, and lighting, as these elements define what will be preserved in the swap.

### Can I guide the identity of the swapped model?

Yes. You can add a text prompt to describe visible identity attributes such as apparent age, hair, skin tone, facial hair, and overall style. If no text prompt is provided, the system will make a subtle identity adjustment while keeping a similar apparent age range and visible skin tone. On Agency plans, you can also upload a face reference image to match a specific person across a campaign.

### How many images can I generate at once?

You can generate 1 to 4 images in one run to compare multiple identity variations at once.

### What is the output image resolution?

All plans support output resolutions up to 4K. The app selects the best resolution for your input by default.

### Can I change the background with Model Swap?

You can change the background using a text prompt in Model Swap, but for higher quality results, use Edit instead. It automatically adjusts lighting and shadows to match the new background.

### What if the swap is incomplete on hands or feet?

For major identity changes, such as from light to dark skin tone, the system may miss updates on extremities like hands or feet. If this occurs, include an additional instruction in the text prompt to update the skin tone in those areas.

### What types of fashion products does Packshot support?

FASHN Packshot supports clothing, footwear, bags, jewelry, and accessories. Higher-resolution source images produce more accurate, detailed output.

### Can I make ghost mannequin photos without a mannequin?

Yes. The invisible-mannequin look can be generated from an on-hanger, flat-lay, on-floor, or on-model source.

### Can Packshot remove the model from an on-model photo?

Yes. The person is removed and the garment is rendered as a standalone packshot. Front-facing sources where the garment is fully visible produce the cleanest results.

### How is Packshot different from background removal?

Background removal gives you a cutout. Packshot gives you a finished product photo. It can remove the model, iron wrinkles, fix uneven drape, change the background, and add structure (e.g., a ghost mannequin shape from a flat source).

### Are Packshot images ready for Shopify, Amazon, and other marketplaces?

Yes. Export at 1K, 2K, or 4K depending on where the image will be used.

### Are generated packshots licensed for commercial use?

Yes. Images can be used for PDPs, marketplace listings, ads, lookbooks, and campaigns. See the FASHN terms of service for the full license.

## Abstract

Virtual try-on methods based on latent diffusion face two fundamental challenges: 1) warping garment details in latent space introduces distortion, making it difficult to preserve colors, logos, patterns, and textures, and 2) without true try-on triplets for training (images of the same person wearing different garments in identical poses), the field has adopted masking approaches that erase body-specific characteristics and constrain transformation volume. FASHN VTON v1.5 addresses both challenges with three key properties: 1) pixel-space generation that operates directly on RGB pixels without VAE encoding, preserving garment details, 2) maskless inference that generates try-on results without masking, preserving body identity and removing volume constraints, and 3) interactive performance with a 972M parameter architecture optimized for ~5 second inference on H100 GPUs. FASHN VTON v1.5 demonstrates that pixel-space generation combined with maskless inference enables high-fidelity virtual try-on suitable for consumer-facing applications. Released under Apache 2.0, FASHN VTON v1.5 is the first permissive open-source virtual try-on model and one of few pixel-space diffusion architectures publicly available for research and commercial use.

## Method

### Architecture

FASHN VTON v1.5 uses an MMDiT [[1]](#ref-1) architecture that processes person and garment images jointly. 8 double-stream blocks handle cross-modal attention between person and garment tokens, followed by 16 single-stream blocks for self-attention over the concatenated sequence. 4 patch-mixer blocks [[2]](#ref-2) pre-process image patches before the main transformer.

The model operates directly on RGB pixels instead of compressed latent space. The only spatial reduction is a 12×12 patch embedding. Pose keypoints are provided as single-channel grayscale images concatenated to the person and garment inputs. Category embeddings ("tops", "bottoms", "one-pieces") are added to timestep conditioning.

### Training

FASHN VTON v1.5 was trained from scratch in two phases. Phase 1 trained on 18M masked try-on pairs. Phase 2 trained on a 50/50 mix of masked pairs and 4M synthetic triplets generated by the Phase 1 checkpoint. These triplets consist of people wearing alternative garments paired with their originals as ground truth, enabling the model to perform try-on from an unmasked input while preserving body shape.

Training from scratch in pixel space is computationally demanding. The patch-mixer blocks addressed this by allowing up to 75% of tokens to be dropped during training, significantly reducing memory and compute requirements.

## Results

The key advantage of maskless inference is freedom from the constraints imposed by segmentation masks. The examples below compare v1.5 against FASHN VTON v1, the previous state-of-the-art which relied on masked inference. They highlight challenging scenarios: voluminous garments that exceed the original outfit's boundaries, hair regions where the original garment leaks through due to segmentation errors, tattoos and body characteristics that masked methods typically erase, and cultural garments like hijabs that require preservation during swaps.

## Limitations

- **Resolution:** Output is limited to 576×864 compared to 1K+ resolutions achievable with VAE-based architectures.
- **Body preservation:** Maskless inference significantly improves body preservation compared to masked methods, but is not yet perfect. Since synthetic triplets were generated by a masked model, some body characteristics may still shift slightly.
- **Garment removal:** In maskless mode, the original garment may not be fully removed, especially in long-to-short transitions or bulky-to-slim conversions. The model preserves body shape but may leave traces of the original clothing.

## Introduction

FASHN LTD ("FASHN", "we", "us", or "our") is a company registered in England and Wales under company number 14979714. This Privacy Policy explains how we collect, use, share, retain, and protect personal information when we act as a Controller. We act as a Controller when we decide why and how that information is processed.

This Policy applies to personal information we process as a Controller in connection with our website, web and mobile applications, API, and related services (collectively, the "Services"). This includes information about website visitors, direct users, account holders, Organization administrators, billing contacts, and people who otherwise interact directly with FASHN.

This Policy does not apply to personal information that FASHN processes on behalf of a business customer as a Processor or Sub-processor. That processing is governed by our [Data Processing Addendum](https://fashn.ai/legal/dpa) and the business customer's own privacy notice. If a FASHN business customer submitted your information, including an image of you, please direct your privacy request to that customer. This Policy does, however, apply to account, billing, support, business-relationship, security, and similar information that FASHN processes as a Controller.

## Information We Collect

**Account and Organization Information:** When you create an account, we receive your name, email address, profile picture, authentication identifiers, and other profile information from our authentication provider. If you use a social login, we receive the profile information that service makes available to us. When you create, join, or administer an Organization, we also process its name, logo, membership, roles, invitations, and related account preferences.

**Direct-User Content:** When you use our AI services directly and FASHN acts as a Controller, we process the images, video, prompts, instructions, generation parameters, reference media, attachments, Agent messages, and generated outputs involved in your requests. Where a Service includes a history feature, we store the relevant content so you can access it later, such as generated media in your Gallery or messages in your Agent conversation history.

**Payment, Subscription, and Credit Information:** We process customer and transaction identifiers, purchase amounts, currencies, dates and statuses, subscription plans and statuses, credit balances, auto top-up settings, mobile-store subscription information, and related billing records. Payment card details are handled by our payment processors and app-store providers. FASHN does not store full payment card numbers.

**Usage and Technical Information:** We collect information about how you interact with the Services, including pages or screens visited, features and AI models used, API key names and identifiers, request and prediction identifiers, generation status, credits used, timestamps, and account-level activity. We also collect technical information such as IP address, browser and operating-system information, device or cookie identifiers, approximate location derived from IP address, and error and performance data. Where enabled, we collect interaction and session-replay information to understand and troubleshoot use of the application.

**Support Communications:** When you contact us through support chat, email, or another support channel, we process the content of the communication and any attachments, together with relevant account information such as your name, email address, user identifier, profile picture, subscription plan, and credit status.

**Feedback and Survey Responses:** We collect information you choose to provide through surveys, ratings, cancellation feedback, support feedback, and questions such as how you discovered FASHN. This information may be associated with your account or the relevant request.

**Sources and Required Information:** We receive personal information directly from you, from Organization owners or administrators who invite or manage you, from authentication, payment, app-store, and subscription providers, and automatically from your device and use of the Services. Account, authentication, billing, subscription, and request information identified as required is necessary to provide the relevant Service. Optional profile information, surveys, feedback, marketing choices, and non-essential cookies are voluntary.

Personal information processed solely on behalf of a business customer, including content or request information submitted through that customer's use of the Services, is outside this Policy as explained in the [Introduction](#introduction) and is governed by the [Data Processing Addendum](https://fashn.ai/legal/dpa).

Images and video may reveal a depicted person's physical characteristics or other personal information. FASHN processes face images to provide requested generation and editing features, not to verify or establish identity. You must have the rights and permissions required by our [Terms of Service](https://fashn.ai/legal/terms-of-service) and applicable law before submitting media depicting another person.

## How We Use Your Information

Where FASHN acts as a Controller, we use personal information to:

- **Provide the Services:** Create and administer accounts and Organizations, authenticate users, process requests and content, operate requested features, and deliver generated results.
- **Manage payments and credits:** Process purchases and manage subscriptions, credit balances, billing records, and related account settings.
- **Communicate with you:** Send transaction confirmations, security alerts, notices about the Services or our legal terms, and other essential communications. We may also send product or marketing communications in accordance with your preferences and applicable law.
- **Provide support:** Respond to questions, investigate reported problems, and troubleshoot the Services.
- **Maintain and improve the Services:** Monitor performance, analyse account and product usage, correct errors, and improve functionality and user experience.
- **Protect the Services and our users:** Detect and prevent fraud, abuse, security incidents, and other harmful or unlawful activity, apply content-safety measures, and enforce our [Terms of Service](https://fashn.ai/legal/terms-of-service).
- **Measure and promote our Services:** Understand the effectiveness of our communications and advertising, including attributing signups and purchases, as described under [Cookies and Tracking Technologies](#cookies-and-tracking-technologies).
- **Comply with law and protect legal rights:** Maintain required records, respond to lawful requests, comply with applicable law, and establish, exercise, or defend legal claims.

Our [Terms of Service](https://fashn.ai/legal/terms-of-service) govern FASHN's permitted use of Customer Content, including restrictions concerning AI model training and promotional use.

### Lawful bases

The lawful basis depends on the purpose and context of the processing:

- **Contract:** To create and administer your account or Organization, provide Services requested directly by you, manage payments and credits, and send essential service communications.
- **Legitimate interests:** To secure, maintain, and improve the Services, prevent fraud and abuse, provide support, understand product use, operate and promote our business, and protect our legal rights, where those interests are not overridden by your rights.
- **Consent:** Where we rely on your consent, including for certain cookies and similar technologies, marketing communications, and other processing, you may withdraw your consent at any time.
- **Legal obligations:** To maintain required financial and regulatory records, respond to lawful requests, and comply with applicable law.

## How We Share Your Information

For the Controller processing covered by this Policy, we disclose personal information to the following categories of recipients. The information disclosed depends on the Service and feature you use.

When we process personal information on behalf of a business customer, the relevant providers are identified in our [Subprocessor List](https://fashn.ai/legal/subprocessors). The categories below instead describe FASHN's own Controller processing.

- **Authentication and account providers:** Receive account and profile identifiers to manage accounts and provide secure sign-in.
- **Payment, app-store, and subscription providers:** Receive account, transaction, billing, and subscription information to process purchases and manage subscriptions. These providers may process information they collect directly under their own privacy notices. FASHN does not store full payment card numbers.
- **AI and media-processing providers:** Receive the direct-user content needed to perform a requested generation, editing, or media-processing operation and return the result.
- **Hosting, storage, database, and content-delivery providers:** Host and deliver account information, direct-user content, technical records, and other data needed to operate the Services. This may include temporary caching where required for delivery and performance.
- **Analytics and product-measurement providers:** Receive identifiers, device and usage information, product events, and session-replay information to help us understand and improve the Services, as described under [Cookies and Tracking Technologies](#cookies-and-tracking-technologies).
- **Advertising partners:** Receive website activity, identifiers, including hashed contact identifiers, and signup or purchase events to measure and improve our advertising, as described under [Cookies and Tracking Technologies](#cookies-and-tracking-technologies).
- **Support and communications providers:** Receive contact details, relevant account information, communications, and attachments to provide support and send service or permitted marketing communications.
- **Reliability, security, and operational providers:** Receive identifiers, request information, technical diagnostics, and error context to monitor performance, investigate incidents, prevent abuse, and maintain the Services.
- **Organization owners and members:** When you use the Services through an Organization, its owners and members may access information and content associated with that Organization according to their roles and permissions. Organization owners also manage membership, billing, and Organization-level settings.

We may also disclose personal information:

- To legal, accounting, audit, and insurance advisers where necessary for them to provide professional services to FASHN.
- To courts, regulators, law-enforcement authorities, and other parties where required or permitted by law or legal process.
- Where reasonably necessary to protect the rights, property, or safety of FASHN, our users, or others, or to investigate violations of our [Terms of Service](https://fashn.ai/legal/terms-of-service).
- In connection with a proposed or completed financing, merger, acquisition, restructuring, bankruptcy, or sale of some or all of our business or assets.
- At your direction, with your consent, or when you intentionally make information available to another person or service.

We use cookies, pixels, local storage, software development kits, and similar technologies in our websites and applications. Some are operated by FASHN and others are provided by third parties.

**Essential Technologies:** We use technologies that are necessary for authentication, session management, security, fraud prevention, and core Service functionality. These cannot be disabled through our cookie-preference controls.

**Analytics and Product Measurement:** We use analytics services to understand how people use and interact with the Services, improve functionality and user experience, troubleshoot problems, and measure performance. These services may collect or receive account or device identifiers, usage and product events, and session-replay information.

**Advertising Measurement:** We use advertising technologies to attribute signups and purchases, measure and optimise campaigns, and create advertising audiences. We may share website or application activity, signup, purchase, subscription, or upgrade events, transaction information, and hashed contact identifiers with advertising partners.

**Application Analytics and Advertising:** We also use analytics and advertising measurement in our signed-in web application, including product analytics, session replay, and conversion measurement.

**Your Choices:** On our marketing website, you can manage optional analytics and advertising technologies at any time through Cookie Preferences in the footer. Depending on where you live, we may ask for your consent before enabling these technologies. Browser, device, and advertising-provider controls may provide additional ways to limit cookies or personalised advertising. Blocking some technologies may affect how the Services function.

## Data Retention

We retain personal information only for as long as necessary for the purposes described in this Policy. The retention period depends on the type of information, how it is used, the Service involved, and applicable legal requirements.

- **Account and relationship data:** Retained while your account or business relationship is active and afterwards where reasonably needed for support, security, or legal compliance.
- **Direct-user content and history:** Content saved in your Gallery or Agent conversation history is retained until you delete it or the relevant account or Organization is deleted. Content associated with an Organization that remains active after you close your account may remain available to that Organization.
- **Usage, support, and security records:** Retained for as long as reasonably needed to operate, troubleshoot, and protect the Services, after which they are deleted or anonymised.
- **Payment and legal records:** Retained for as long as required for accounting, tax, legal compliance, and resolving disputes.
- **Analytics, advertising, and cookie data:** Retained for periods appropriate to the relevant measurement purpose, taking account of your choices and applicable law.

Customer Personal Data processed on behalf of a business customer is retained and deleted under our [DPA](https://fashn.ai/legal/dpa)and that customer's instructions rather than the Controller retention periods above.

When you delete your account, we delete or anonymise personal information that we no longer need, subject to the exceptions described above. Deleted information may remain in access-restricted backups until it is overwritten through the ordinary backup cycle, or may be retained where required by law.

## Data Security

We use appropriate technical and organisational measures designed to protect personal information from loss, misuse, and unauthorised access, disclosure, alteration, or destruction. These measures include safeguards relating to encryption, authentication, access controls, separation between Organizations, monitoring, and incident response.

No method of transmission or storage is completely secure, so we cannot guarantee absolute security.

Where applicable law requires us to notify you of a personal data breach, we will do so in accordance with that law.

## International Data Transfers

Personal information covered by this Policy may be transferred to and processed in countries other than the country where you live, including the United Kingdom, European Economic Area, and United States. Data protection laws in those countries may differ from those in your country.

Where required by applicable law, we use recognised safeguards such as adequacy decisions or approved standard contractual clauses. ## Your Rights

Depending on where you live and subject to legal exceptions, you may have the right to:

- Access your personal information and receive a portable copy.
- Correct inaccurate personal information.
- Delete your personal information.
- Restrict or object to certain processing.
- Withdraw consent you previously gave.
- Appeal or complain about our response to your request.

**Your controls in the product:** You can review available account information and direct-user content in the application, delete specific or all of your Gallery media and Agent conversations, and close your account from account settings. You can unsubscribe from marketing email in your account settings or through the unsubscribe link in those emails, and manage website cookie choices from the footer.

**Advertising choices:** Depending on where you live, you may also have the right to opt out of certain uses or disclosures of personal information for advertising measurement, attribution, or audience building. We may need to verify your identity and authority. We will not discriminate against you for exercising a privacy right.

**Content submitted by a business customer:**If a business customer submitted your information, contact that customer first. FASHN acts on the customer's authenticated instructions and assists it under the [DPA](https://fashn.ai/legal/dpa).

**Complaints:** EEA, UK, and Swiss individuals may lodge a complaint with their local supervisory authority. In the UK, this is the [Information Commissioner's Office](https://ico.org.uk/make-a-complaint/).

### Automated decisions

FASHN's media-generation Services create outputs in response to user instructions. FASHN does not use those outputs to make decisions about individuals that produce legal or similarly significant effects.

## Children's Privacy

FASHN accounts and Services offered directly to users are not intended for anyone under 18, or under the age of legal majority where they live if higher, as explained in the [User Eligibility section of our Terms of Service](https://fashn.ai/legal/terms-of-service#user-eligibility). We do not knowingly allow an individual below that age to create a FASHN account or use the Services directly.

This direct-use restriction does not prevent a business customer from making the Services available to younger end users through a permitted API integration. When FASHN processes their personal information on the customer's behalf, that processing is governed by our [DPA](https://fashn.ai/legal/dpa)and the customer's own privacy notice. The customer is responsible for ensuring that the processing is lawful, including obtaining parental or guardian consent where required.

If we learn that we collected personal information from an ineligible direct user outside that business customer context, we will take reasonable steps to delete it. Welcome to FASHN. These Services are provided by FASHN LTD ("FASHN"), a company registered in England and Wales under company number 14979714. Please read these Terms of Service ("Agreement" or "Terms") carefully. This Agreement governs your access to and use of the FASHN website, applications, API, and any related services, features, and content we offer (collectively, the "Services"). By accessing or using the Services in any manner, you agree to be bound by these Terms. Our [Privacy Policy](https://fashn.ai/legal/privacy-policy) explains how FASHN handles personal data when acting as a Controller; it is a privacy notice and is not part of these Terms.

In these Terms, "Customer" means the individual or entity agreeing to them. If you use the Services for an entity, you confirm that you have authority to bind that entity, and "you" includes the Customer and its authorised users.

If FASHN processes personal data on behalf of a business Customer as a Processor or Sub-processor through the Services, the [Data Processing Addendum](https://fashn.ai/legal/dpa) is incorporated into this Agreement. A separately signed data processing agreement or data-protection term in an order form takes precedence over the public Data Processing Addendum to the extent of a conflict.

## Description of the Services

FASHN provides AI services for generating, editing, and transforming visual media, including images and video. These Services include virtual try-on, product-to-model and model generation, background replacement, face swaps, upscaling, reframing, image-to-video generation, and related capabilities. The Services are available through our website, web and mobile applications, and API.

In these Terms, "App" means FASHN's web and mobile applications, and "API Services" means access to and use of the FASHN API, including related subscriptions and credit packages.

To provide these Services, Customer Content may be processed using a combination of proprietary FASHN technology and third-party AI services. When those providers process Customer Personal Data on a business Customer's behalf, the applicable terms are described in our [Data Processing Addendum](https://fashn.ai/legal/dpa) and [Subprocessor List](https://fashn.ai/legal/subprocessors).

## Changes to Terms and Service Availability

**Changes to These Terms:**We may update these Terms to reflect changes to the Services, applicable law or regulatory requirements, security or safety needs, or the way the Services are delivered. We will publish the updated Terms and revise the "Last Updated" date. If a change materially and adversely affects your rights, we will provide reasonable advance notice by email or through the Services, unless the change must take effect sooner for legal, security, or safety reasons. Changes apply prospectively. If you do not agree to an update, you must stop using the Services before it takes effect. Continued use after the effective date constitutes acceptance of the updated Terms.

**Changes to the Services:** We may add, modify, suspend, or discontinue features as the Services evolve. We may also temporarily restrict access where reasonably necessary for maintenance, security, legal compliance, or preventing misuse. We do not guarantee that every feature will remain available. If we discontinue an entire prepaid Service during a current paid period, we will provide any refund or other remedy required by applicable law. Nothing in this section affects your statutory rights.

## User Eligibility

You must be at least 18 years old, or the age of legal majority where you live if higher, to create a FASHN account or use the Services directly.

This requirement does not prevent a business Customer from making the Services available to end users through a permitted API integration. The Customer is responsible for ensuring that its end users' use is lawful, including obtaining parental or guardian consent where required.

**Business and Consumer Use:** The Services are primarily designed for businesses and professionals. API access, API subscriptions, and API credit packages are offered to businesses and developers for trade, business, craft, or professional purposes. By purchasing or using API Services, you confirm that you are doing so primarily for one of those purposes.

If you purchase an App subscription or App credits primarily for personal purposes, mandatory consumer rights under applicable law may apply. These may include a statutory right to cancel or withdraw from certain purchases. To exercise a right that applies to you, contact [[email protected]](https://fashn.ai/cdn-cgi/l/email-protection#d9aaaca9a9b6abad99bfb8aab1b7f7b8b0). Nothing in these Terms limits rights that cannot lawfully be excluded.

## Account and API Security

You must take reasonable steps to keep your individual login credentials and API keys secure. Individual login credentials may not be shared. If more than one person needs direct account access, you should invite them as a collaborator to your FASHN Organization. API keys may be used by personnel and systems authorised to act on your behalf, and you are responsible for managing their access and use. You must not sell, publish, disclose an API key to an unauthorised person, expose it in public or client-side code, or allow a third party to use it for its own independent benefit. If you suspect unauthorised access or disclosure, promptly revoke or rotate the affected credential and notify [[email protected]](https://fashn.ai/cdn-cgi/l/email-protection#31424441415e434571575042595f1f5058) if your account may have been compromised.

## Acceptable Use

**Permitted Use:** You may use our Services for any lawful generation, editing, or transformation of visual media, including personal and commercial use in accordance with your subscription plan. You must have the rights or permissions required to use any visual media that you upload, including the consent of an identifiable individual where required by law.

**API Integrations:** You may use our API to incorporate the Services into applications and services that you make available to your own users or customers, subject to these Terms and our API documentation and the restrictions in this section.

**Prohibited Content:** You may not use the Services to create, upload, or disseminate content that:

- Violates any applicable laws, rules, or regulations.
- Infringes on the intellectual property or other rights of any person or entity.
- Creates deceptive or misleading visual media of real, identifiable individuals without their consent.
- Exploits or harms minors in any way.
- Is pornographic, contains explicit nudity, or depicts minors in any sexual or exploitative context.
- Spreads false information intended to harm others, supports terrorism, or promotes violence against protected groups.
- Is threatening, abusive, defamatory, libellous, deceptive, invasive of privacy, or otherwise objectionable.
- Violates applicable AI regulations or uses the Services to generate content that would violate such regulations.

**Prohibited Platform Use:** You may not:

- Interfere with, disrupt, or impose an unreasonable load on the Services or their infrastructure.
- Use automated means, bots, or scripts to access the Services except through our official API in accordance with its documentation.
- Reverse engineer, decompile, or extract any aspect of the Services or their underlying technology.
- Resell or sublicense standalone access to the FASHN API; share individual login credentials; sell, publish, or provide API keys to an unauthorised person; or allow a third party to use your credentials for its own independent benefit. This does not prohibit the use of API keys by personnel and systems authorised to act on your behalf, or the processing of requests from users through an application or service that you operate as permitted in this section.
- Represent yourself as FASHN or as an authorised FASHN reseller without our prior written consent.
- Upload harmful software or engage in activities that compromise the security or performance of the Services.

**Content Responsibility:** You are responsible for the content you submit and for how you use or distribute generated Outputs. You must ensure that you have the rights and permissions required for submitted content and that your use of Outputs complies with these Terms and applicable law.

**Monitoring and Enforcement:** FASHN reserves the right to investigate suspected violations and take appropriate action, including restricting content, suspending or terminating access, preserving relevant evidence, reporting suspected unlawful conduct to the appropriate authorities, and pursuing available civil remedies.

## Your Content and Intellectual Property

In these Terms, "Customer Content" means images, video, prompts, instructions, reference media, generated outputs, and other content that you submit to, generate through, or store in the Services.

**Your Ownership:** You retain all rights, title, and interest that you have in Customer Content. Except for the limited licence described in this section, nothing in these Terms transfers ownership of your Customer Content to FASHN.

**License You Grant to FASHN:** By using the Services, you grant FASHN a limited, non-exclusive, royalty-free licence to:

- Process your content using our technology and, where applicable, third-party AI services to fulfil your generation and editing requests.
- Where the relevant Service provides a gallery, history, or other storage feature, store your content for your continued access.
- Deliver your content via our delivery infrastructure and API.
- Cache your content temporarily for performance optimisation.
- Make your content accessible to members of your Organization, where applicable.
- Deliver your content to integration endpoints that you configure.

This licence exists solely to operate the Services and terminates when Customer Content is deleted under the applicable Service and data-retention terms. Restricted backup or legally required copies may remain for a limited period and will not be used for another purpose. **FASHN will not use Customer Content to train, fine-tune, or otherwise improve FASHN or third-party AI models unless the Customer expressly opts in through a separately agreed service. FASHN will not use Customer Content for marketing or promotional purposes without the Customer's express permission.**

**Generated Outputs:** As between you and FASHN, and to the extent permitted by applicable law, you own the outputs generated for you. FASHN assigns to you any rights it may have in those outputs. You may use them for personal or commercial purposes in accordance with your subscription plan. Storage and availability depend on the Service and delivery path you use.

Outputs may not be unique, and other customers may receive the same or similar outputs. Your rights in an output may depend on applicable law and the rights you hold in input or third-party content. FASHN does not guarantee that an output is protected by intellectual property rights or that its use will not infringe third-party rights. You are responsible for reviewing outputs and ensuring that your intended use is lawful.

**FASHN Intellectual Property:** All logos, marks, and designations of FASHN are trademarks or registered trademarks owned by FASHN. The Services, including their design, features, and functionality, are owned by FASHN and protected by intellectual property laws. You are granted a non-exclusive, limited, non-transferable, non-sublicensable, and non-assignable licence to access and use the Services for personal or business purposes, subject to your compliance with these Terms.

**Copyright Infringement:** If you believe that material hosted or made available through the Services infringes your copyright, contact [[email protected]](https://fashn.ai/cdn-cgi/l/email-protection#7b171e1c1a173b1d1a081315551a12) with sufficient information to identify the protected work and the allegedly infringing material. FASHN may remove or restrict access to infringing material and may suspend or terminate repeat infringers where appropriate.

## Organizations

**Shared Workspaces:**The Services support multi-member workspaces called "Organizations." Organization owners can invite or remove collaborators and manage membership, access, billing, and subscriptions. Members share the Organization's App credits and can access assets created within that Organization. Content created while using an Organization remains associated with it and is visible to its members.

**Membership:**Organization owners are responsible for managing member access. If a member leaves or is removed, they lose access to the Organization's assets and plan, while content they created within the Organization remains associated with it.

**Owner Account Deletion:** If an Organization owner deletes their account, the Organization will close, its members will lose access to Organization data, and associated data will be scheduled for deletion under the applicable [Data Processing Addendum](https://fashn.ai/legal/dpa) or [Privacy Policy](https://fashn.ai/legal/privacy-policy). Members retain their personal accounts.

## Fees and Payments

- **Subscription Plans:** FASHN offers paid subscription plans with monthly and annual billing cycles. Subscriptions may be purchased through our website or via in-app purchase on supported platforms. Available plans and billing intervals may vary by platform. Subscriptions automatically renew at the end of each billing period.
- **Payment Methods and Automatic Charges:** You must provide accurate billing information and a valid payment method. You authorise FASHN and its payment processors to charge that payment method for purchases, recurring subscription renewals, applicable taxes, and API auto top-ups you enable. You are responsible for maintaining a valid payment method and for the auto top-up settings you select.
- **Credits:** Services are consumed using credits. App subscription plans include a monthly credit allocation, and certain plans also include bonus daily credits that refresh every 24 hours and do not accumulate. Additional app credits can be purchased as top-up packages. App credits and API credits are separate. API usage is billed separately using API credits, which can be obtained through dedicated API subscription plans or one-time API credit packages.
- **Credit Renewal and Expiry:**Daily bonus credits refresh every 24 hours and unused daily credits do not carry over. Monthly subscription credits reset according to the applicable plan's credit cycle. Top-up credits purchased at their standard price expire 12 months from the date of purchase. Discounted API top-up credits purchased in connection with an API subscription are tied to that subscription; if the subscription is not renewed, any remaining discounted credits expire at the end of the current billing period.
- **Credit Status:** Credits are units for consuming the Services, are not currency, and cannot be redeemed for cash. Credits may not be resold or transferred between accounts or Organizations unless FASHN expressly permits it.
- **Cancellations (Direct Billing):** Subscriptions purchased through our website may be cancelled at any time through the application or by contacting [[email protected]](https://fashn.ai/cdn-cgi/l/email-protection#d2a1a7a2a2bda0a692b4b3a1babcfcb3bb). You will retain access to your plan until the end of the current billing period.
- **Cancellations (App Store):** Subscriptions purchased through the Apple App Store or other app stores are managed and cancelled through the respective app store.
- **Refunds:**Except where required by law or expressly stated otherwise, subscription fees and credit purchases are non-refundable. This includes business purchases, unused credits, and generated results that do not meet personal expectations. If FASHN voluntarily approves a refund that is not required by law, it may deduct the value of credits consumed and payment-processing fees that FASHN cannot recover. App Store refund requests are governed by the applicable store's policies.
- **Failed Payments:** If a subscription renewal or other authorised payment cannot be completed when due, FASHN may suspend access to the affected paid Services until payment is completed or a valid payment method is provided.
- **Price Changes:** FASHN may change subscription prices, credit-package prices, and the credit cost of using particular Services. Subscription price increases will apply no earlier than the next renewal after any advance notice required by law. Other changes apply prospectively and will be displayed before the applicable purchase or use.
- **Taxes:** Fees do not include applicable taxes unless stated otherwise. You are responsible for applicable taxes, including VAT, GST, and sales tax. Where required by law, FASHN or its payment provider will calculate and collect taxes based on your billing information and the applicable tax rates.

## Termination

- **Termination or Suspension by FASHN:** FASHN may suspend or terminate your access to all or part of the Services if you materially breach these Terms, if required by applicable law, or if FASHN reasonably determines that your use creates a material security risk or risk of harm to FASHN, the Services, or others.
- **Termination by You:** You may terminate your account through the account settings in the application. If you have an active mobile subscription purchased through an app store, you must cancel it through the relevant app store before deleting your account.
- **Effect of Termination:** Termination ends your right to access and use the Services but does not affect your ownership of Customer Content or Outputs already generated under these Terms. Any amounts due before termination remain payable. Following account closure, Customer Content and personal data will be handled under the applicable Service and data-retention terms, including the [Privacy Policy](https://fashn.ai/legal/privacy-policy) and, where FASHN processes Customer Personal Data on behalf of a business Customer, the [Data Processing Addendum](https://fashn.ai/legal/dpa). Provisions of this Agreement that by their nature should survive termination, including ownership provisions, payment obligations, warranty disclaimers, [indemnification](#indemnification), [limitations of liability](#limitation-of-liability-and-disclaimer), and [dispute-resolution provisions](#dispute-resolution), will survive.

## Indemnification

If you use the Services for business or organizational purposes, you agree, to the extent permitted by law, to defend, indemnify, and hold harmless FASHN, its affiliates, and their respective directors, employees, and agents from third-party claims, liabilities, losses, damages, and reasonable legal costs arising from:

- Customer Content you submit, including a claim that it infringes another person's intellectual property, privacy, or other rights;
- your use or distribution of Outputs in violation of applicable law or another person's rights; or
- your material breach of these Terms.

This obligation does not apply to the extent that a claim results from FASHN's breach of these Terms or unlawful conduct. FASHN may assume control of the defence of a covered claim, and you agree to provide reasonable cooperation.

## Limitation of Liability and Disclaimer

**Service and Output Disclaimers:**The Services are provided on an "as is" and "as available" basis. If you use the Services for business or organizational purposes, FASHN disclaims, to the extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Because artificial intelligence is probabilistic, Outputs may contain inaccuracies, artefacts, or unexpected results and may not be unique. FASHN does not guarantee the accuracy, quality, originality, or suitability of Outputs. You are responsible for reviewing Outputs before using or relying on them.

**Business Customers:**If you use the Services for business or organizational purposes, FASHN and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, or data, arising from or relating to the Services, regardless of the legal theory involved. FASHN's aggregate liability for all claims arising from or relating to the Services will not exceed the greater of £500 or the amount you paid FASHN during the 12 months preceding the event giving rise to the claim.

**Consumers:** If you use the Services primarily for personal purposes, FASHN is responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. FASHN is not responsible for business losses, losses that were not reasonably foreseeable, or losses you could have avoided by taking reasonable steps.

**Liabilities That Cannot Be Limited:** Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Nothing in these Terms affects statutory rights available to consumers.

## Dispute Resolution

**Informal Resolution:** If a dispute arises, please contact [[email protected]](https://fashn.ai/cdn-cgi/l/email-protection#c2aea7a5a3ae82a4a3b1aaaceca3ab). You and FASHN agree to try in good faith to resolve the dispute informally before starting formal proceedings. This does not prevent either party from seeking urgent relief or exercising rights that cannot lawfully be restricted.

**Governing Law and Courts:** These Terms are governed by the laws of England and Wales. If you use the Services for business or organizational purposes, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

If you use the Services primarily for personal purposes, this choice of law does not deprive you of mandatory consumer protections provided by the laws of the country where you live. You may bring proceedings in any court that has jurisdiction under applicable consumer law.

## General Provisions

**Third-Party Links:** The Services may contain links to websites or services that FASHN does not control. FASHN is not responsible for their content or practices, and including a link does not imply endorsement. Your use of a third-party service may be subject to its own terms and privacy policy.

**Assignment:**You may not assign or transfer these Terms without FASHN's prior written consent. FASHN may assign or transfer its rights and obligations to an affiliate or to a successor in connection with a merger, acquisition, reorganization, or sale of the business or assets associated with the Services. Any assignment will not reduce rights available to consumers under applicable law.

**Severability:** If any part of these Terms is held unenforceable, the rest remains in effect.

**Entire Agreement:** These Terms, any applicable service-specific terms, the [Data Processing Addendum](https://fashn.ai/legal/dpa) where applicable, and any order form or separately signed agreement between you and FASHN constitute the entire agreement concerning the Services and supersede prior communications concerning them. If a signed agreement or order form specifies a different order of precedence, that order will apply.

**Delay in Enforcement:** If either party delays or fails to enforce any provision of these Terms, it may still enforce that provision later.

**No Agency:** Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and FASHN. Neither party may bind the other without written authority.

**Notices:** Notices to FASHN should be sent to [[email protected]](https://fashn.ai/cdn-cgi/l/email-protection#9ff3faf8fef3dff9feecf7f1b1fef6). FASHN may send notices to the email address associated with your account or display them within the Services. Notices about generally applicable updates may also be published on our website. ## Contact Us

This Data Processing Addendum (the **DPA**) forms part of the agreement between the Customer and FASHN LTD governing the Customer's use of the Services (the **Agreement**). It applies only when FASHN processes Customer Personal Data as a Processor or Sub-processor on the Customer's behalf.

FASHN LTD is registered in England and Wales under company number 14979714, with its registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom. A separately signed data processing agreement between the parties takes precedence over this public DPA to the extent of a conflict.

## 1. Scope, roles, and processing details

### 1.1 Definitions

In this DPA:

- **Customer** means the person or entity identified as the customer under the Agreement.
 - **Customer Content** means images, video, prompts, instructions, reference media, generated outputs, and other content submitted to, generated through, or stored in the Services for the Customer.
 - **Customer Personal Data** means Personal Data in Customer Content or related Service records that FASHN processes on the Customer's behalf.
 - **Data Protection Laws** means laws and binding regulations applicable to a party's processing of Customer Personal Data under the Agreement, including the UK GDPR, EU GDPR, Swiss Federal Act on Data Protection, and applicable United States state privacy laws.
 - **EU SCCs** means the standard contractual clauses in European Commission Implementing Decision (EU) 2021/914.
 - **Security Incident** means a breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to Customer Personal Data processed by FASHN. Unsuccessful attempts that do not compromise Customer Personal Data are not Security Incidents.
 - **Services** means the FASHN website, applications, API, and related services covered by the Agreement.
 - **UK Addendum** means the then-current International Data Transfer Addendum to the EU Commission Standard Contractual Clauses issued by the UK Information Commissioner's Office.

**Personal Data**, **Controller**, **Processor**, **Process**, **Data Subject**, and **Supervisory Authority** have the meanings given by applicable Data Protection Laws. **Sub-processor** means a Processor engaged by FASHN to Process Customer Personal Data.

### 1.2 Roles and applicability

The Customer is the Controller of Customer Personal Data, or a Processor acting for another Controller. FASHN is the Customer's Processor or Sub-processor, as applicable. Each party will comply with the obligations that apply to it under Data Protection Laws. Where the Customer acts as a Processor for another Controller, the Customer confirms that it is authorised to engage FASHN as a Sub-processor and acts as FASHN's point of contact for that Controller.

This DPA does not apply where FASHN acts as an independent Controller, including for account, billing, relationship, and other processing described in the [Privacy Policy](https://fashn.ai/legal/privacy-policy). A record is classified according to the purpose for which it is processed, not merely the system in which it is stored.

### 1.3 Processing details and duration

Schedule 1 describes the subject matter, nature, purpose, duration, Personal Data, Data Subjects, and processing operations. This DPA begins when incorporated into the Agreement and remains in effect while FASHN Processes Customer Personal Data for the Customer. Obligations that must continue by their nature survive for as long as FASHN retains Customer Personal Data.

## 2. Instructions, use restrictions, and confidentiality

### 2.1 Documented instructions

FASHN will Process Customer Personal Data only on the Customer's documented instructions. The Agreement, this DPA, the Customer's use and configuration of the Services, and authenticated support requests constitute those instructions.

FASHN will inform the Customer before Processing required by law unless the law prohibits notice on important public-interest grounds. If FASHN reasonably believes an instruction infringes Data Protection Laws, it will inform the Customer and may suspend the affected Processing while the parties address the issue.

### 2.2 Purpose and use restrictions

FASHN will Process Customer Personal Data only to provide, secure, maintain, and support the Services, comply with applicable law, and follow the Customer's documented instructions. The Customer Content use restrictions in the [Terms of Service](https://fashn.ai/legal/terms-of-service), including the restriction on using Customer Content to train or improve AI models, form part of those instructions.

FASHN will not sell Customer Personal Data, share it for cross-context behavioural advertising, use it to create advertising profiles, or use it for an independent commercial purpose. FASHN may use measurements that no longer contain Personal Data or Customer Content and cannot reasonably be linked to a Customer or Data Subject, and will not attempt to re-identify them.

### 2.3 Confidentiality

FASHN will ensure that personnel authorised to Process Customer Personal Data are bound by confidentiality obligations, receive appropriate privacy and security instruction, and have access only where needed for their work. FASHN remains responsible for its personnel's compliance with this DPA.

### 2.4 Customer responsibilities

The Customer is responsible for the lawfulness of its instructions and Customer Personal Data, providing required notices, obtaining an applicable legal basis, responding to Data Subjects, and using the Services in accordance with Data Protection Laws. If Customer Personal Data includes face images or other sensitive or special-category information, the Customer confirms that it is authorised to submit that data and instruct the processing described in Schedule 1.

## 3. Security and incidents

### 3.1 Security measures

FASHN will maintain appropriate technical and organisational measures designed to protect Customer Personal Data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure, and unauthorised access. Schedule 2 describes the current control families. FASHN may update individual measures as technology and risk evolve while maintaining an appropriate overall level of protection.

The Customer is responsible for protecting its accounts, API keys, credentials, client applications, devices, and networks and for limiting Service access to authorised users.

### 3.2 Security Incident notice

FASHN will notify the Customer without undue delay after becoming aware of a Security Incident affecting Customer Personal Data. As information becomes available, FASHN will provide a description of the incident, affected data or Data Subject categories, likely consequences, mitigation or remediation measures, and a contact for follow-up. FASHN will take reasonable steps to contain and remediate the incident and reasonably assist the Customer with legally required notifications.

## 4. Customer assistance

### 4.1 Data Subject requests

Taking into account the nature of the Processing, FASHN will provide reasonable technical and organisational assistance to help the Customer respond to Data Subject requests. If FASHN receives a request relating to Customer Personal Data directly from a Data Subject, FASHN will not respond on the Customer's behalf unless legally required. Where permitted, FASHN will direct the requester to the Customer or notify the Customer.

### 4.2 Other compliance assistance

Taking into account the nature of the Processing and information available to FASHN, FASHN will provide reasonable assistance with the Customer's obligations concerning security, personal-data breaches, data protection impact assessments, and prior consultation with a Supervisory Authority.

The Customer will provide enough authenticated information for FASHN to identify the Organization, Service, records, and requested action. Assistance materially outside standard Service functionality may be subject to reasonable fees agreed in advance, unless it is required because FASHN breached this DPA.

## 5. Sub-processors

### 5.1 General authorisation

The Customer gives FASHN general written authorisation to engage the Sub-processors in the current [Subprocessor List](https://fashn.ai/legal/subprocessors). A provider receives Customer Personal Data only when the relevant Service path or feature uses that provider.

### 5.2 Obligations and responsibility

Before a Sub-processor Processes Customer Personal Data, FASHN will enter into a written agreement imposing data-protection obligations that provide substantially the same protection as this DPA for the relevant Processing. FASHN remains responsible for the Sub-processor's performance of those obligations to the extent required by Data Protection Laws, subject to the Agreement's limitations of liability.

### 5.3 Changes

FASHN will give affected Customers at least 15 calendar days' notice before a new Sub-processor begins Processing Customer Personal Data. The Customer may object within 10 calendar days on reasonable, documented data-protection grounds. The parties will work in good faith to address the objection. If no commercially reasonable solution is available, the Customer may stop using and terminate the affected Service in accordance with the Agreement.

FASHN may make an accelerated replacement where necessary to address an urgent security, legal, availability, or service-integrity risk. FASHN will notify affected Customers as soon as reasonably practicable.

## 6. Deletion and return

### 6.1 During the Agreement

The Customer may use available Service controls or send an authenticated request to [[email protected]](https://fashn.ai/cdn-cgi/l/email-protection#513d3436303d11373022393f7f3038) to delete Customer Personal Data. FASHN will carry out a valid instruction without undue delay, subject to the nature of the Service and any legal requirement to retain the data, and will direct relevant Sub-processors to do the same.

### 6.2 End of Processing

At the Customer's choice, FASHN will delete or return Customer Personal Data after the Agreement ends and delete remaining copies, unless applicable law requires retention. If the Customer does not make a choice before termination, FASHN will delete the data.

Deleted data may remain in encrypted, access-restricted backups until overwritten through the ordinary backup cycle. FASHN will not restore deleted data to active use except where needed for disaster recovery and will reapply the deletion after restoration where practicable. Data retained by law will remain isolated and protected and will be Processed only for the legally required purpose.

## 7. Compliance, audits, and transfers

### 7.1 Compliance information and audits

FASHN will make available information reasonably necessary to demonstrate compliance with this DPA, including the DPA, current Subprocessor List, and Schedule 2. The parties will first use available documentation and remote discussion.

Where that information is insufficient to meet a legal requirement, FASHN will allow and contribute to a proportionate audit by the Customer or an independent auditor. An audit must use reasonable advance notice, occur during normal business hours, minimise disruption, protect confidential and security-sensitive information, and avoid access to another customer's data. The Customer bears its audit costs unless the audit identifies FASHN's material breach of this DPA.

### 7.2 International transfers

The parties will first rely on an applicable adequacy decision or regulation. Where a restricted transfer requires a contractual safeguard, the EU SCCs, UK Addendum, or another valid transfer mechanism applies as described in Schedule 3.

## 8. General and regional terms

### 8.1 California

To the extent the California Consumer Privacy Act, as amended, applies to Customer Personal Data, FASHN acts as a service provider or contractor. FASHN will Process that data only for the specific business purposes in the Agreement and the Customer's instructions; will not sell or share it; will not retain, use, or disclose it outside the direct business relationship or combine it with other personal information except as permitted by law; will provide the required level of privacy protection; will notify the Customer if it can no longer comply; and will allow the Customer to take reasonable steps to monitor, stop, and remediate unauthorised use. FASHN will bind Sub-processors to applicable equivalent restrictions.

### 8.2 Precedence, liability, and term

An applicable mandatory transfer instrument prevails for its subject matter. This DPA prevails over the Agreement to the extent of a conflict concerning the Processing of Customer Personal Data. The Agreement governs all other matters. The Privacy Policy is not part of this contract hierarchy.

Each party's liability arising from this DPA is subject to the exclusions and limitations in the Agreement, except where Data Protection Laws or an applicable transfer instrument prohibit that limitation.

FASHN may update this DPA under the Agreement's change process to reflect changes in law, the Services, or FASHN's data-protection practices. A separately signed DPA is not replaced by a later public DPA unless the signed agreement says otherwise.

### 8.3 Contact

FASHN may send notices to the Customer's Organization owner, account contact, or designated legal-notice address. ## Schedule 1. Details of Processing

## Schedule 2. Technical and organisational measures

FASHN maintains a risk-based security programme appropriate to the nature, scope, context, and purposes of Processing. Current control families include:

### 1. Encryption and secrets

- Current transport encryption for data in transit.
 - Managed encryption at rest for production databases and object storage.
 - Credentials and secrets protected separately from application code.

### 2. Identity and access

- Authenticated user, Organization, and API access.
 - Role-based, least-privilege production and support access.
 - Administrative access restriction and access revocation when roles change.

### 3. Tenant and environment separation

- Logical Organization boundaries and authorisation checks.
 - Separation of production and non-production environments and credentials.
 - Controls designed to prevent access to another Customer's content.

### 4. Data minimisation and logging

- Collection and retention limited to the data needed for the applicable purpose.
 - Controls designed to keep media content, credentials, and signed media URLs out of ordinary logs.
 - Pseudonymous identifiers, redaction, or scrubbing in monitoring where appropriate.

### 5. Resilience and recovery

- Managed infrastructure, monitoring, and recovery mechanisms appropriate to the Service.
 - Controlled backups for critical records and procedures designed to preserve deletion instructions after restoration.

### 6. Development and monitoring

- Version control, review, testing, dependency management, and controlled deployment appropriate to risk.
 - Operational and security monitoring, incident triage, containment, remediation, and recovery procedures.

### 7. People and suppliers

- Confidentiality duties and access limited to personnel with a business need.
 - Privacy and security awareness appropriate to role.
 - Risk-based diligence and written data-protection obligations for Sub-processors.
 - Reliance on managed hosting providers' physical and environmental controls for production infrastructure.

## Schedule 3. International transfer terms

### 1. Applicability

This Schedule applies only where a transfer of Customer Personal Data requires an approved contractual safeguard. It does not replace an applicable adequacy decision or regulation.

### 2. EU SCCs

The [EU SCCs](https://eur-lex.europa.eu/eli/dec_impl/2021/914/oj) are incorporated by reference where required and completed as follows:

- Module 2 applies when the Customer is a Controller and FASHN is a Processor. Module 3 applies when the Customer is a Processor and FASHN is a Sub-processor.
 - Clause 7 applies. In Clause 9, Option 2 applies with the 15-day notice period in [Section 5.3](#53-changes). The optional language in Clause 11 does not apply.
 - Under Clauses 17 and 18, Irish law and the courts of Ireland apply.
 - The Agreement identifies the Customer as data exporter and FASHN LTD as data importer and supplies the parties' contact details. Entering the Agreement constitutes signature where required.
 - Schedule 1 completes Annex I.B, the competent Supervisory Authority under Clause 13 completes Annex I.C, and Schedule 2 completes Annex II. The Subprocessor List identifies authorised Sub-processors for Clause 9.

### 3. United Kingdom

The [UK Addendum](https://ico.org.uk/for-organisations/uk-gdpr-guidance-and-resources/international-transfers/appropriate-safeguards/) is incorporated where required. Its tables are completed by the party information in the Agreement, the EU SCC selections above, Schedules 1 and 2, and the Subprocessor List. The Customer is Exporter and FASHN is Importer unless the restricted-transfer roles require otherwise. Either party may end the UK Addendum as permitted by its mandatory terms only if another lawful safeguard is put in place where required for Processing to continue.

### 4. Switzerland

Where Swiss law governs a restricted transfer, references in the EU SCCs to the EU GDPR include the Swiss Federal Act on Data Protection; references to the European Union include Switzerland where needed to preserve Data Subject rights; and the competent authority is the Swiss Federal Data Protection and Information Commissioner. The remaining EU SCC selections apply unless mandatory Swiss law requires another result.

An applicable transfer instrument prevails over this DPA to the extent of a conflict.

This list identifies the providers that may process Customer Personal Data for the FASHN Services. A provider receives Customer Personal Data only when the relevant Service path or feature uses that provider.

## How changes work

FASHN gives affected Customers at least 15 calendar days' notice before a new subprocessor begins processing Customer Personal Data. A Customer may object within 10 calendar days on reasonable, documented data-protection grounds by emailing [[email protected]](https://fashn.ai/cdn-cgi/l/email-protection#016d6466606d41676072696f2f6068). The applicable terms are in [Section 5 of the DPA](https://fashn.ai/legal/dpa#5-sub-processors).

Account, payment, marketing, and other providers used only for FASHN's Controller processing are described by category in the [Privacy Policy](https://fashn.ai/legal/privacy-policy) and are not included in this list merely because they support a FASHN account.
